1. No Warranty

The BenchPass website, mobile experiences, and related services (collectively, the "Service") are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, BenchPass disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of a course of dealing or usage of trade.

2. Peer-to-Peer Exchange

BenchPass is a private, invitation-based platform that connects season ticket holders and their invited guests to exchange or transfer tickets among themselves. BenchPass is not a ticket broker, is not a party to any transaction between users, does not own, purchase, sell, resell, hold, deliver, or take title to any tickets, and does not set ticket prices. All transactions occur directly between users.

3. No Guarantee of Ticket Validity or Entry

BenchPass does not verify, authenticate, guarantee, or insure any ticket, seat, transfer, or admission. We make no representation that a ticket transferred through the Service will be valid, will grant entry to a venue, will not be cancelled or revoked by the issuer or venue, or that any event will occur as scheduled. Any dispute regarding a ticket is between the users involved.

4. Assumption of Risk

You use the Service and attend any event at your own risk. BenchPass is not responsible for any loss, injury, damage, or expense arising from your use of the Service or attendance at any event, including but not limited to lost, stolen, counterfeit, duplicated, or revoked tickets; denial of entry; event cancellation, postponement, or rescheduling; or the conduct of any other user, venue, team, artist, promoter, or third party.

5. No Endorsement or Affiliation

BenchPass is not affiliated with, endorsed by, sponsored by, or otherwise connected to Major League Baseball, the National Hockey League, the National Basketball Association, the National Football League, Major League Soccer, any team, venue, promoter, artist, primary ticketing platform (including but not limited to Ticketmaster, SeatGeek, AXS, or StubHub), or any other rights holder. Team names, logos, and other trademarks referenced on the Service are the property of their respective owners and are used for identification purposes only.

6. Limitation of Liability

To the maximum extent permitted by law, in no event will BenchPass, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for any and all claims relating to the Service will not exceed the greater of (a) the total fees you paid to BenchPass in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CA$100).

7. Indemnification

You agree to defend, indemnify, and hold harmless BenchPass and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (i) your use of and access to the Service; (ii) your violation of any term of these disclaimers or any applicable law; (iii) your violation of any third-party right, including any intellectual property, publicity, or privacy right; or (iv) any claim that your listing, transfer, or content caused damage to a third party.

8. Force Majeure

BenchPass will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, government action, epidemics or pandemics, labor disputes, utility or telecommunications failures, or cyberattacks.

9. Governing Law and Jurisdiction

These disclaimers are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these disclaimers or the Service, and you consent to the personal jurisdiction of such courts.

10. Changes

We may update this disclaimer from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes are posted constitutes acceptance of those changes.
